Service Agreement
1. Scope of Work
Randy Ramos agrees to provide media-related services (the “Work”) as contracted by the Client. These services may include, but are not limited to:
• Audio engineering
• Video production or editing
• Lighting design and operation
• LED wall operation
• Graphic design
• Content creation for print or digital media
• Technical directing or event support
Work may be performed on-site or remotely, depending on the needs of the project and agreement with the Client.
2. Booking & Confirmation
A booking is considered confirmed only upon digital signature of this agreement. Verbal confirmation does not reserve the requested dates.
Important: If the agreement is not signed, the Contractor may accept other projects during the same period.
3. Payment Terms
• Net 30 payment terms apply unless otherwise agreed.
• Acceptable payment methods include Zelle or bank transfer.
• A non-refundable deposit (typically 50%) may be required for some projects. If no deposit is collected and a last-minute cancellation occurs (see Section 6), 50% of the proposed total will be invoiced.
• Rates and quotes are valid for 10 calendar days from the time of proposal.
Credit or debit card payments may be subject to processing fees.
4. Travel & Expenses
Travel outside a 30-minute round-trip drive from Orlando, FL may be billed at the IRS mileage rate.
Additional travel-related costs may include:
• Hotel stays for travel exceeding 3 hours
• Airfare for required flights
• Ground transportation and tolls
• Per diem for meals (if applicable and agreed upon)
All travel arrangements must be approved by the Client before booking.
5. Revisions (for deliverables)
For content-related deliverables, the Client is entitled to 3–5 rounds of revisions. The Contractor reserves the right to determine the reasonable scope of those revisions within the limit provided.
6. Cancellation & Rescheduling
• No cancellation fee will apply if the Client cancels at least 20 calendar days before the scheduled service date.
• If cancellation occurs within 20 days and:
• A deposit was paid, the deposit will be retained.
• No deposit was paid, a fee of 50% of the total project value will be invoiced.
• If work has already begun (e.g. designs, travel booked, prep hours logged), the Client agrees to pay the percentage of work completed, as determined by the Contractor.
• If cancellation occurs after final deliverables or services are provided, full payment is still required.
7. Ownership & Deliverables
• Upon full payment, the Client owns the final project files and outputs.
• Until final payment is received, Randy Ramos retains copyright of all original content.
• Work is provided “as is,” and Randy Ramos is not liable for errors introduced after the Client’s approval or in processes beyond his control (e.g. printing, broadcasting, etc.).
8. Confidentiality
Randy Ramos may have access to proprietary or sensitive information (e.g., product plans, designs, proposals). He agrees to protect such information unless the Client explicitly allows its public use.
Unless otherwise requested in writing, Randy Ramos may showcase final work on his website, portfolio, or social media.
9. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond their control, including but not limited to: illness, injury, natural disasters, accidents, weather, strikes, transportation failures, or national emergencies.
In the case of such an event, both parties will make reasonable efforts to reschedule or adjust terms accordingly.
10. Independent Contractor Status
Randy Ramos operates as an independent contractor and is solely responsible for paying any federal, state, or local taxes related to his services. The Client will not classify or treat him as an employee for any purpose.
11. Acceptance
By signing this agreement, the Client agrees to the terms outlined above. Submission of payment also signifies agreement to these terms, even without a signature.
RANDY RAMOS may terminate, change, or modify terms and conditions at any time.
